1. Introduction and Acceptance of Terms

Welcome to Vidzely, a premier video sharing and streaming platform operated by FindEdition. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Vidzely ("we", "us", "our", or "Vidzely") governing your access to and use of the Vidzely website located at vidzely.com (the "Website") and all related services, features, content, and applications (collectively, the "Service").

By accessing, browsing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must immediately discontinue your use of the Service and may not access or use any portion of the Service.

These Terms apply to all users of the Service, including without limitation, users who are browsers, content creators, viewers, contributors, advertisers, merchants, and/or contributors of content. Your use of the Service is also governed by our Privacy Policy, Community Guidelines, and Copyright Notification Policy, which are incorporated into these Terms by reference. We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. If we make material changes to these Terms, we will notify you by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes.

2. Description of Service

Vidzely is a comprehensive video sharing platform that enables users to upload, share, view, comment on, and interact with video content. The Service includes, but is not limited to, video hosting, live streaming, content discovery, social networking features, monetization tools, analytics, and various other features and functionalities that may be added, modified, or removed from time to time.

2.1. Service Access Levels: By accessing and/or using the Vidzely Service, without being logged into a Vidzely Account, you are considered as a "Viewer" and you will only have the ability to access, view or share videos available on the Vidzely Service, but you cannot benefit from all the other features available on the Vidzely Service.

2.2. Account Features: If you want to be able to upload videos and access some other features of the Vidzely Service, you first need to create a Vidzely Account and have your email address validated (see Section 3.1) at which point you will be a "User." A "Vidzely Account" means the video content storage space on the Vidzely Service which is dedicated to a User on the Vidzely Service that can be created by signing up for a Vidzely Account via vidzely.com.

2.3. Partner Program: If and when you have accepted the terms of the Vidzely Partner Program, you are considered a "Partner" and have the opportunity to monetize your Content uploaded on your Vidzely Account.

2.4. Content and Features: Both Users and Partners can record and/or edit video files via the Vidzely Service, upload those video files on the Vidzely Service, post comments and reactions, provide further information with each video, such as a title, a description, and pick a video category. Any and all elements saved or posted through your Vidzely Account on the Vidzely Service are deemed to be "Your Content".

2.5. Advertising and Ad-Blockers: The Vidzely Service offers access to videos in association with advertising. Presence of advertisement is an essential feature of our Service. To that end:

• The use of technical or other means aiming at preventing the presence of ads (so-called "ad-blockers") and/or artificially increasing the number of views generated by an ad (so-called non-organic traffic generated by "robots" or "botnets") is explicitly prohibited. Any detection of such means may lead to blocking your access to our Service. The detection of these prohibited technologies constitutes a security measure of the Vidzely Service and may be carried out using automated detection tools and may require access to your device.
• Vidzely may use technical or other tools to maintain compliance of Content with the Prohibited Content Policy, detect fraud, including advertising fraud, and ensure brand safety.

We provide the Service on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, for any reason, including but not limited to maintenance, updates, or business reasons.

The Service may include features that allow you to upload, post, transmit, or otherwise make available content, including videos, comments, messages, and other materials ("User Content"). You retain all ownership rights in your User Content, subject to the licenses granted to Vidzely as described in these Terms.

3. User Accounts and Registration

To access certain features of the Service, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form. You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activities that occur under your account.

3.1. Account Validation: Information provided by you to create your Vidzely account must be accurate and complete. In order for Vidzely to verify that the email address you provided is valid, you will receive an email from Vidzely asking you to validate your email address. Pending validation of your email address, access to some of the Service\'s features may be restricted. The creation of your account may be blocked if the email address you provide originates from a temporary, disposable, or anonymous email service (service that does not require user registration). This measure is intended to protect the Vidzely community, in particular against the upload of Prohibited Content.

3.2. Account Responsibility: By creating a Vidzely account, you agree that you alone are responsible (to Vidzely and to others) for the activities that occur under your account. Your user ID and password are at your sole responsibility and it is your obligation to keep them confidential. You should immediately notify Vidzely of any unauthorized use of your user ID, password or any other breach of your account security.

3.3. Account Inactivity: Users are expected to be an active part of the Vidzely community. As such, you acknowledge that if your account remains inactive for a significant period of time (typically 12 months or more), Vidzely reserves the right to delete, reclaim or remove your account for this reason, with or without prior notice to you.

3.4. Age Requirements: You must be at least 13 years old to create an account on Vidzely. If you are an individual (by opposition to a legal entity), you represent to Vidzely that you are either: (i) at least 18 years old, or (ii) at least 13 years old AND either: (a) an emancipated minor, or (b) the law of your country allows you to enter into the terms, conditions, obligations, affirmations, representations, and warranties in the Terms, or (c) you have obtained your parent or guardian consent. In any case, the Vidzely Service is not intended for children under 13 so you shall not use it if you are not 13 yet. You shall neither use the Vidzely Service if (a) you are not of legal age to form a binding contract with Vidzely, or (b) you are legally prohibited from receiving or using the Vidzely Service under the laws of the country in which you are a resident or from which you access or use the Vidzely Service.

3.5. Automated Access Prohibition: Access to the Vidzely Service is limited to individuals, corporations or other legal entities. Access by means of automated processes (e.g. robots, botnets, scrapers, etc.) endangers the proper functioning of our Service, limits legitimate end-users\' access to its features, causes financial prejudice and constitutes a security threat to various categories of our end-users. Access by means of automated processes is expressly prohibited without a prior written approval of Vidzely. Vidzely may use technical means to detect and block any unauthorized access to the Vidzely Service. You explicitly recognize and agree that when you access the Vidzely Service or any part thereof, the use of such technologies, including when they consist in accessing your device to read or write information (ex. to determine whether an attempt to access the Vidzely Service is triggered by a human or by a robot), is necessary for the detection and prevention of attempts of such unauthorized access and for the provision of the Vidzely Service to you.

You may not create an account if you are prohibited from receiving services under the laws of the jurisdiction in which you reside or from which you access the Service. You represent and warrant that you have the legal capacity and authority to enter into these Terms and to use the Service in accordance with all applicable laws.

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or any other conduct that we determine, in our sole discretion, is harmful to other users, Vidzely, or third parties.

4. User Conduct and Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that violates any applicable federal, state, local, or international law or regulation, or to engage in any conduct that restricts or inhibits anyone\'s use or enjoyment of the Service.

You agree not to upload, post, transmit, or otherwise make available through the Service any User Content that:

• Is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another\'s privacy, hateful, or racially, ethnically, or otherwise objectionable;
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights of any party;
• Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;
• Constitutes unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
• Impersonates any person or entity, or falsely states or otherwise misrepresents your affiliation with a person or entity;
• Contains private information of any third party, including addresses, phone numbers, email addresses, and credit card numbers;
• Is designed to harm minors in any way;
• Violates any applicable laws or regulations regarding the collection of information from minors;
• Promotes illegal activities or provides instructional information about illegal activities;
• Contains false or misleading information;
• Interferes with or disrupts the Service or servers or networks connected to the Service;
• Attempts to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service;
• Uses any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service;
• Introduces any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
• Attempts to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service;
• Takes any action that imposes, or may impose, an unreasonable or disproportionately large load on our infrastructure;
• Collects or harvests any personally identifiable information from the Service;
• Uses the Service for any commercial purpose without our express written consent, except as explicitly permitted by these Terms;
• Violates any applicable export control laws or regulations.

You agree not to engage in any activity that interferes with or disrupts the Service or the servers and networks connected to the Service. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission.

5. User Content and Intellectual Property Rights

You retain all ownership rights in the User Content that you upload, post, or transmit through the Service. However, by submitting User Content to Vidzely, you grant Vidzely and its affiliates, partners, and licensees a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit your User Content in connection with the Service and Vidzely\'s business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels.

This license includes the right for Vidzely to make your User Content available to other users of the Service, who may also use your User Content subject to these Terms. You understand that your User Content may be copied, shared, and used by other users in accordance with these Terms and our Community Guidelines.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the license described above, and that your User Content does not infringe, misappropriate, or violate any third party\'s intellectual property rights, privacy rights, publicity rights, or other legal rights.

You understand and agree that Vidzely may, but is not obligated to, review, monitor, or remove User Content at any time, with or without notice, for any reason, including but not limited to violation of these Terms or our Community Guidelines. Vidzely reserves the right to remove or disable access to any User Content that we believe violates these Terms or is otherwise objectionable.

Vidzely respects the intellectual property rights of others and expects users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide us with the following information:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
• Identification of the copyrighted work claimed to have been infringed;
• Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material;
• Your contact information, including your address, telephone number, and email address;
• A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
• A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

6. Monetization and Revenue Sharing

Vidzely offers various monetization options for eligible content creators, including advertising revenue sharing, subscription-based channels, pay-per-view content, and direct fan support. To be eligible for monetization, you must meet certain requirements, including but not limited to minimum subscriber counts, view counts, content quality standards, and compliance with our Community Guidelines and these Terms.

Monetization features are subject to change, modification, or discontinuation at any time, with or without notice. Vidzely reserves the right to determine eligibility for monetization features in its sole discretion and may revoke or suspend monetization privileges for any reason, including violation of these Terms or our Community Guidelines.

Revenue sharing percentages, payment terms, and eligibility requirements are subject to change. Vidzely will provide reasonable notice of material changes to monetization terms. You are responsible for reviewing and understanding the current monetization terms applicable to your account.

Payments to creators are subject to applicable taxes, fees, and deductions as required by law or as set forth in our monetization agreements. Creators are responsible for reporting and paying any applicable taxes on revenue received through the Service. Vidzely may withhold taxes or fees as required by applicable law.

Vidzely reserves the right to withhold, suspend, or terminate payments if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or if there are disputes regarding your content or account.

7. Prohibited Content and Activities

You agree not to upload, post, transmit, or otherwise make available through the Service any content that violates applicable laws or regulations, infringes upon the rights of others, or is harmful, offensive, or inappropriate. Prohibited content includes, but is not limited to:

7.1. Illegal Content: Content that violates any applicable laws, regulations, or court orders, including content related to illegal drugs, weapons, human trafficking, or other criminal activities. Content that displays, incites, or promotes illegal activities.

7.2. Child Exploitation: Any sexually explicit content featuring children or representing any form of exploitation of a child or persons whose physical appearance is that of a minor is strictly prohibited on Vidzely. Any content involving abusing or endangering a child in any way is also prohibited, including child pornography, sexual abuse, or any type of sexually explicit content involving minors.

7.3. Harmful or Dangerous Content: Content that promotes dangerous or illegal activities, including but not limited to instructions for creating weapons, explosives, or harmful substances; content that encourages self-harm, suicide, or eating disorders; content that depicts graphic violence, gore, or torture; or content promoting dangerous challenges or hoaxes.

7.4. Hate Speech: Content that promotes hatred, violence, or discrimination against individuals or groups based on race, ethnicity, nationality, religion, faith, beliefs, caste, language, sexual orientation, sex, gender, gender identity, physical appearance, illness, disability, migratory status, or other protected characteristics. This includes content that dehumanizes, stigmatizes, or attacks individuals or groups, promotes hateful ideologies, or undermines human dignity.

7.5. Harassment and Bullying: Content that harasses, bullies, threatens, or intimidates individuals, including cyber-harassment, pack harassment, sexual or sexist language, doxxing, stalking, or sharing private information without consent.

7.6. Sexual Content: Content that contains nudity, sexual acts, or sexually explicit material, except as permitted by our Community Guidelines for educational, artistic, or documentary purposes with appropriate age restrictions. Pornographic content, revenge porn, sexual exploitation, or content involving non-consensual sexual acts is strictly prohibited.

7.7. Terrorist Content: Content that advocates or promotes violent extremist and/or terrorist organizations, individuals, or acts, including content providing instructions for terrorist activities, glorifying terrorist acts, or encouraging participation in terrorist offenses.

7.8. Disinformation/Misinformation: Content containing false, distorted, misleading, or malicious information that may disturb public order or public opinion, including false medical information, conspiracy theories, altered or edited content designed to mislead, or content created using artificial intelligence for manipulation purposes.

7.9. Spam and Misleading Content: Content designed to deceive, mislead, or manipulate users, including clickbait, fake news, content that impersonates others, financial scams, get-rich-quick schemes, or content that does not match its metadata, thumbnails, title, or description.

7.10. Copyright Infringement: Content that infringes upon the intellectual property rights of others, including unauthorized use of copyrighted material, trademarks, or other proprietary content, including music, audiovisual works, video games, written works, or graphic works without proper authorization.

7.11. Privacy Violations: Content that violates the privacy rights of others, including sharing private information, images, or videos without consent, or containing financial account numbers, social security numbers, government IDs, payment card data, or protected health information.

7.12. Scraping and Unauthorized Access: You may not scrape, collect, search, extract, download, copy or otherwise access Content, metadata, or any content available on the Vidzely Platform in unauthorized ways, such as by using automated means (without our express prior permission), or accessing or attempting to access data you do not have permission to access. More specifically, unless you have obtained express prior written authorization from Vidzely and/or the applicable content uploader, you may not access, extract, scrape, or use any Platform Content to train, develop, or improve artificial intelligence systems, large language models, machine learning algorithms, or automated decision-making systems.

7.13. View Manipulation: You shall not falsely increase the number of views, impressions or clicks associated with your Content either directly or indirectly, or automatically (such as using robots, botnets or scrapers) or manually, authorize or encourage any third-party including offering any financial incentive to do the same, or misuse any reporting, flagging, complaint, dispute, or appeals process.

Vidzely reserves the right to remove any content that violates these prohibitions and to take appropriate action against users who violate these Terms, including but not limited to account suspension or termination. Please note that we apply and enforce our service restrictions objectively, fairly, and proportionally, taking into account the rights and interests of everyone involved.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy. For information about how we use cookies and tracking technologies, please see our Cookies Policy.

Vidzely complies with applicable data protection laws, including the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other regional privacy laws. You have certain rights regarding your personal information, including the right to access, correct, delete, or restrict the processing of your personal information, as described in our Privacy Policy.

We implement appropriate technical and organizational measures to protect your personal information against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

9. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Vidzely. Vidzely has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Vidzely shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit. Your interactions with third-party services are solely between you and the third party, and Vidzely is not responsible for any disputes or issues that arise from such interactions.

The Service may integrate with third-party services, including social media platforms, payment processors, and analytics providers. Your use of these integrated services may be subject to additional terms and conditions of the third-party service providers.

10. Our Liability as a Hosting Service Provider

10.1. Hosting Service Status: In its capacity as a web hosting service provider, Vidzely is under no legal obligation to monitor content uploaded on the Vidzely Service, nor obligated to actively seek facts or circumstances indicating illegal content but shall forthwith remove or disable access from its Vidzely Service to any infringing content once having been notified of its existence. Furthermore, Vidzely does not, and has no legal obligation to, review or inspect content for possible illegality or infringement prior to its being viewable on the Vidzely website.

10.2. Content Removal: You acknowledge and agree that the owners of third-party videos and Vidzely, in accordance with Section 10.1, may from time to time remove Vidzely users\' content (including your Content) from the Vidzely Service. You shall nonetheless remain fully liable for your Content.

10.3. User Responsibility: You agree that your use of the Vidzely Service shall be at your sole risk and liability. In this regard, you are solely responsible for (i) your use of the Vidzely Service and more specifically for your Content (including any personal data that may be incorporated therein) and (ii) the protection of your computer hardware against any virus or interruption.

11. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

VIDZELY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

VIDZELY DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIDZELY, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIDZELY ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS IN THE CONTENT OF THE SERVICE, ANY PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE, ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN, ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE, ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY, OR ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE.

IN NO EVENT SHALL VIDZELY\'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO VIDZELY IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless Vidzely, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys\' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to your User Content, any use of the Service\'s content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

This indemnification obligation will survive the termination of these Terms and your use of the Service. Vidzely reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Vidzely\'s defense of such claim.

13. Reporting Prohibited Content

13.1. Reporting Mechanism: Vidzely has implemented an easily accessible mechanism next to each video uploaded on the Vidzely Service allowing anyone to report the availability of infringing or illegal material and/or activity on the Vidzely Service. Such processes to report prohibited content are described in detail within our Help Center\'s Community Guidelines in the Prohibited Content Section.

13.2. Reporting Process: To report video Content, you need to: (i) Click on the "Report" button available near each video; (ii) Specify whether the report concerns the entire video or only a specific extract; (iii) Select the main motive for the report; (iv) Describe in the dedicated free text field any information that will allow Vidzely to process the report; and (v) Provide your contact information. It is NOT necessary to have a Vidzely account to report Prohibited video Content.

13.3. Abusive Reports: While we encourage reporting of prohibited content, unfounded reports done repeatedly and/or reports reasonably suspected to be willfully made to harm the User having posted the reported Content or to abuse Vidzely\'s reporting systems (notably by sending duplicates or spammy reports, e.g. through the use of automated tools) might lead to the de-prioritization of such reports or even to the refusal of Vidzely to process the further reports you might make for a certain period of time.

14. Repeated Infringement Policy and Penalty System

14.1. Penalty Scoring System: Vidzely takes compliance with its Prohibited Content Policy and its general Terms of Use very seriously in order to ensure a safe and respectful viewing environment for its Visitors, Users and Partners. Each Vidzely Account has a penalty scoring system associated with it (the "Counter"). Such Counter is set up at zero by default, but any violation of our Prohibited Content Policy or of our general Terms of Use will be accounted against the Vidzely Account having performed such violation and will make the Counter increase.

14.2. Penalty Points: The number of penalty points given to a violation depends on the severity of the content that was removed and the context in which it was shared in order to ensure our violations\' accounting system is fair and proportionate (e.g.: hateful content will lead to more penalty points added to the Counter than spam for instance). Some violations such as, for example, terrorist content or child abuse content, will lead directly to the disabling of the corresponding Vidzely Account.

14.3. Violation Retention: The accounting of a violation to the Vidzely Prohibited Content Policy or the Vidzely general Terms of Use will last for a period of 90 (ninety) days, meaning that unless the Counter of a Vidzely Account led to its deletion, a violation will no longer count towards the Counter of a Vidzely Account after a period of 90 days.

14.4. Feature Restrictions: The Counter linked to the violations performed by a given Vidzely Account might lead to a temporary restriction of the features linked to your account for a certain period of time or even the disabling of such Vidzely Account. Several different sanctions might be applied for periods of up to several days if the Counter of a Vidzely Account reaches a certain threshold, including: (i) Blocking the ability to upload Videos on such Vidzely Account; (ii) Excluding Content posted on such Vidzely Account from the Vidzely recommendation systems; (iii) Restricting the visibility of your Content posted on such Vidzely Account; (iv) For Partners having the opportunity to monetize their Content, excluding the Content posted on such Vidzely Account from monetization.

14.5. Account Disabling: If the Counter of a Vidzely Account reaches a critical level, then such Vidzely Account will be permanently disabled. Please note that some very severe violations of our Prohibited Content Policy or of our general Terms of Use will lead to the direct disabling of the corresponding Vidzely Account even if that\'s the first time such account commits a violation.

14.6. Appeals: Vidzely has established an internal appeal mechanism for the decisions taken by its moderation team following the detection and/or reporting of Prohibited Content. This internal appeal system allows the author of a report to contest the Moderation Decision taken following their report, and the User who has put Content online that has been subject to a Moderation Action to contest the corresponding Moderation Decision. This appeal system is open for a period of 6 (six) months from the Moderation Decision.

15. Restricted Mode and Sensitive Content

15.1. Restricted Mode: "Restricted Mode" is a feature, activated by default, whose purpose is to limit the visibility of videos that may offend the sensibilities of certain Visitors and, in particular, young audiences. Visitors who have not deactivated the "Hide Sensitive Content" feature located at the bottom of the platform\'s homepage will not be exposed to these videos, i.e. videos labelled as "Sensitive Content" when they are uploaded by Users and/or in the context of a Moderation Action applied by Vidzely.

15.2. Sensitive Content: By Sensitive Content, we mean any video that may offend the sensibilities of young audiences and in particular any video: (i) Presenting scenes of nudity; (ii) Promoting sexual challenges; (iii) Depicting violent scenes of war; (iv) With a sexual theme or involving sexual activity; (v) With a suggestive and/or sexual title or description; (vi) Including depictions of violence; (vii) Presenting a real medical procedure; (viii) Presenting accidents; or (ix) Presenting scenes of animal cruelty.

15.3. Content Restrictions: Users are prohibited from uploading any Sensitive Content without first restricting access to it by checking the box dedicated to this purpose ("Restrict access to sensitive content") when uploading. Any video whose access has been restricted will not be monetized or recommended by Vidzely.

15. Termination

You may terminate your account and stop using the Service at any time by following the account deletion procedures provided in the Service. Upon termination of your account, your right to use the Service will immediately cease.

Vidzely may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, violation of applicable laws, or if we determine, in our sole discretion, that your use of the Service is harmful to other users, Vidzely, or third parties.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Vidzely may, but is not obligated to, delete or remove your User Content upon termination of your account. You are responsible for backing up your User Content before terminating your account. Vidzely shall not be liable for any loss of User Content resulting from account termination.

16.1. Content Backup: Because the Vidzely Service is not designed as a video back-up service, you are responsible for taking all necessary precautions to safeguard your video files. Additionally, pursuant to then-current inactive content and accounts rules, we reserve the right to delete your inactive Content and/or your Vidzely Account from our Service.

16. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which FindEdition, the legal parent of Vidzely, is incorporated, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, except that either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to a jury trial in connection with any dispute arising out of or relating to these Terms or the Service.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

17. Changes to Terms

Vidzely reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days\' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

It is your responsibility to review these Terms periodically for changes. Your continued use of the Service following the posting of changes will mean that you accept and agree to the changes.

18. Miscellaneous Provisions

Entire Agreement: These Terms, together with our Privacy Policy, Community Guidelines, and Copyright Policy, constitute the entire agreement between you and Vidzely regarding the Service and supersede all prior agreements and understandings.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Vidzely\'s prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Vidzely may freely assign or transfer these Terms without restriction.

Waiver: No waiver by Vidzely of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Vidzely to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Force Majeure: Vidzely shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Vidzely\'s reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.
